These Terms of Use ("Terms") govern your access to and use of the Kyoji Creators marketing website at ugc.kyojihealth.com (the "Site"), operated by Kyoji Health ("Kyoji", "we", "us", or "our"). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.
1. What this Site is for
The Site explains Kyoji Creators — paid health and wellness UGC opportunities for creators — and links you to application flows (such as Typeform) operated by us or our vendors. Brand and studio services for hiring teams are described on kyojihealth.com; those offerings may have separate terms.
2. Eligibility
You represent that:
- You are old enough to enter a binding agreement where you live.
- Information you submit in any application is accurate and not misleading.
- You will not use the Site in violation of law or third-party rights.
- You are not located in, under the control of, or a national or resident of any country or region subject to comprehensive EU, UN, US, or other applicable sanctions, and you are not on any applicable restricted-party list.
3. Creator applications
Submitting an application does not guarantee acceptance, access to briefs, or payment. Roster decisions, brief availability, and payouts depend on program rules, brand needs, and your compliance with review and platform requirements communicated to you separately. Nothing on the Site is an offer of employment, and no employment, agency, joint venture, partnership, or franchise relationship is created by your use of the Site.
4. Acceptable use
You agree not to:
- Attempt to gain unauthorized access to our systems, other users, or vendors.
- Use the Site to distribute malware, scrape in a way that harms performance, or circumvent security.
- Use any automated means — including bots, crawlers, or AI agents — to access, copy, or extract Site content beyond what is permitted by our
robots.txtand applicable law, or to train a machine learning model on Site content without our express written consent. - Misrepresent affiliation with Kyoji or impersonate another person or entity.
- Use the Site to transmit unlawful, harassing, discriminatory, or deceptive health claims in violation of applicable advertising or consumer-protection rules.
5. Intellectual property
The Site, including text, design, logos, and other materials, is owned by Kyoji or our licensors and is protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable, revocable license to access the Site for personal, non-commercial browsing. All rights not expressly granted are reserved. Trademarks displayed on the Site belong to their respective owners.
Feedback. If you send us suggestions, ideas, or other feedback about the Site or our programs, you grant Kyoji a perpetual, irrevocable, royalty-free, worldwide license to use that feedback without restriction or obligation to you.
6. Third-party links and forms
The Site may link to third-party sites or embed forms (for example, Typeform). Those services have their own terms and privacy policies. We are not responsible for their content or practices.

Where our website, tools, or workflows use automated systems, artificial intelligence (AI), or machine-assisted drafting, summarization, or compilation, we strive for accuracy; however, such outputs may contain errors or inaccuracies. Always double-check important information— especially anything that could affect your health or treatment decisions— with a qualified professional.
Kyoji Creators and marketplace role. Kyoji Health operates a marketplace that connects brands and independent creators. Kyoji does not own content that creators produce for clients, and creator deliverables remain subject to the agreements between creators and their clients unless otherwise stated in writing.
Final approval. The client (brand, advertiser, or its authorized representatives) retains final approval over whether creative work is accepted, published, paid for, or used in campaigns. Kyoji may provide review, feedback, or workflow support, but that does not replace the client's own legal, medical, and compliance sign-off.
No responsibility for creator output. To the maximum extent permitted by law, Kyoji Health is not responsible for content created by Kyoji Creators or other independent creators, including claims made in videos, scripts, or posts; platform moderation or takedowns; or how clients use deliverables. Nothing on this site makes Kyoji the publisher or guarantor of creator-generated content.
THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. We do not warrant that the Site will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Site is free of viruses or other harmful components. Educational or marketing copy on the Site is not medical, legal, regulatory, financial, or other professional advice for your situation.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KYOJI AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SITE WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED EUROS (EUR €100) OR (B) THE AMOUNTS YOU PAID US (IF ANY) FOR ACCESS TO THE SITE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITATIONS APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, STATUTE, OR OTHERWISE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.
9. Indemnity
You will defend, indemnify, and hold harmless Kyoji and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from or related to (a) your misuse of the Site, (b) your violation of these Terms, (c) your violation of any law or third-party right (including intellectual property, privacy, advertising, or health-related rules), or (d) any content you submit or transmit through or in connection with the Site. Kyoji may assume exclusive defense and control of any matter subject to indemnification, in which case you will cooperate with our defense.
10. Suspension
We may suspend, restrict, or terminate access to the Site (or any feature) at any time, with or without notice, for conduct that we believe violates these Terms or creates risk or legal exposure for Kyoji or others.
11. Governing law and disputes
Kyoji Health is established in Portugal. These Terms are governed by the laws of Portugal, without regard to conflict-of-law principles. Subject to Section 12, the courts of Lisbon, Portugal have exclusive jurisdiction over disputes arising from these Terms or the Site, and you consent to personal jurisdiction in those courts. If you are a consumer resident in the European Union, Section 6(2) of the Rome I Regulation and any other non-waivable consumer protections of your country of habitual residence will continue to apply to you, and you may also have the right to bring claims in the courts of that country. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
12. Informal resolution; class-action waiver
Before filing a claim, you agree to try to resolve the dispute by contacting us at isauraconsulting@gmail.com and giving us at least 30 days to respond. To the maximum extent permitted by law, you and Kyoji agree that any dispute will be brought in an individual capacity only, and not as a plaintiff or class member in any purported class, collective, or representative action. If a court or arbitrator decides this class-action waiver is unenforceable in your case, the balance of these Terms remains in effect. Nothing in this section limits non-waivable rights you have under local law (including, where applicable, the right to bring claims in your home courts as an EEA/UK consumer).
13. Changes
We may modify these Terms at any time. We will post the updated Terms on this page and change the "Last updated" date. Continued use of the Site after changes constitutes acceptance of the revised Terms. If we make material changes and we have your email, we may notify you.
14. Severability; waiver; survival
If any provision of these Terms is held to be unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be reformed to the minimum extent necessary to make it enforceable. Our failure to enforce any provision is not a waiver of that provision or any other right. Sections that by their nature should survive termination — including Intellectual property, Disclaimers, Limitation of liability, Indemnity, Governing law and disputes, Informal resolution, and this Section — survive termination of these Terms or your access to the Site.
15. Force majeure
Kyoji is not liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, war, terrorism, civil unrest, public-health emergencies, labor disputes, government actions, internet or telecommunications failures, or third-party service outages.
16. Assignment; no third-party beneficiaries
You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent; any attempted assignment in violation of this section is void. Kyoji may freely assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets. These Terms do not create third-party beneficiary rights.
17. Notices; entire agreement
We may give notices to you by posting on the Site or by email to any address you have provided. You may give notice to Kyoji at isauraconsulting@gmail.com. These Terms, together with our Privacy Policy, Cookie Policy, and Disclaimers, constitute the entire agreement between you and Kyoji regarding the Site and supersede any prior agreements.
